But when the deal reaches its decisive phase, the true economic\u2013legal backbone of the agreement comes into view: the <strong data-start=\"605\" data-end=\"632\">Reps &amp; Warranties (R&amp;W)<\/strong>regime, also referred to as <strong data-start=\"661\" data-end=\"707\">contractual representations and warranties<\/strong>.<\/p>\n<h2 data-start=\"710\" data-end=\"746\">What are Reps &amp; Warranties (R&amp;W)?<\/h2>\n<p data-start=\"748\" data-end=\"1131\">R&amp;W are a set of statements included in the sale and purchase agreement and made by both parties to a transaction (seller and buyer) although, in practice, <strong data-start=\"904\" data-end=\"931\">primarily by the seller<\/strong> regarding the condition of the company being sold and, in particular, its most relevant aspects. Generally, they relate to potential risks which are governed by an agreed general liability framework.<\/p>\n<p data-start=\"1133\" data-end=\"1372\">R&amp;W translate the findings of the due diligence into a precise allocation of risk, determining which contingencies the buyer assumes, which the seller retains, and what happens if the reality of the business does not match what was stated.<\/p>\n<p data-start=\"1374\" data-end=\"1441\">Examples of R&amp;W that a buyer might request from the seller include:<\/p>\n<ul>\n<li data-start=\"1445\" data-end=\"1527\">That the seller has disclosed all material facts affecting the buyer\u2019s decision.<\/li>\n<li data-start=\"1530\" data-end=\"1646\">That the assets being sold comprise all of the business assets and are in good condition and free of encumbrances.<\/li>\n<li data-start=\"1649\" data-end=\"1749\">That the information provided by the seller to the buyer is complete, accurate and not misleading.<\/li>\n<li data-start=\"1752\" data-end=\"1832\">That there are no undisclosed liabilities for which the seller is responsible.<\/li>\n<\/ul>\n<p data-start=\"1834\" data-end=\"2211\">In Spain, legal action for <em data-start=\"1861\" data-end=\"1877\">hidden defects<\/em> is limited, because the time limit to hold the seller liable for potential hidden defects affecting the company expires <strong data-start=\"1998\" data-end=\"2012\">six months<\/strong> from the date of acquisition, as provided by <strong data-start=\"2058\" data-end=\"2100\">Article 1490 of the Spanish Civil Code<\/strong>. As a result, the R&amp;W regime becomes essential, as it allows the parties to strengthen contractual protection.<\/p>\n<p data-start=\"2213\" data-end=\"2567\">In short, at a time when contractual standards are increasingly converging with wider European practice\u2014especially in private equity\u2014the use of R&amp;W has continued to grow, and they have become an indispensable legal tool for structuring efficient, balanced transactions aligned with international M&amp;A market practice.<\/p>\n<h2 data-start=\"2569\" data-end=\"2584\">Scope of R&amp;W<\/h2>\n<p data-start=\"2586\" data-end=\"2714\">The content of an R&amp;W package is typically structured into three main blocks, each with specific objectives and characteristics:<\/p>\n<ol>\n<li data-start=\"2719\" data-end=\"3157\"><strong data-start=\"2719\" data-end=\"2746\">Fundamental warranties:<\/strong> These form the core of the agreement and cover essential matters such as title to the shares, legal capacity to dispose of them, absence of encumbrances and validity of corporate approvals. In practice, no M&amp;A transaction can close without adequate coverage of these points. They are essential contractual conditions and are usually subject to an enhanced liability regime, often uncapped or with a high cap.<\/li>\n<li data-start=\"3162\" data-end=\"3544\"><strong data-start=\"3162\" data-end=\"3186\">Business warranties:<\/strong> This block covers the most relevant operational and strategic elements: financial statements, absence of undisclosed liabilities, key contracts, intellectual property, technology, environmental risks, among others. This is where most technical negotiation takes place, representing approximately 80% of the adjustments and discussions between the parties.<\/li>\n<li data-start=\"3549\" data-end=\"4042\"><strong data-start=\"3549\" data-end=\"3583\">Tax and employment warranties:<\/strong> Due to their historic nature and connection to specific legal obligations, these warranties are treated separately, with time limits aligned to the applicable statutory limitation periods. In transactions where there is a gap between signing and closing, this package is often updated at closing through a <strong data-start=\"3890\" data-end=\"3904\">bring-down<\/strong> mechanism, ensuring that the statements and warranties reflect the company\u2019s position at that date.<\/li>\n<\/ol>\n<h2 data-start=\"4044\" data-end=\"4065\">Limitations of R&amp;W<\/h2>\n<p data-start=\"4067\" data-end=\"4288\">Because representations and warranties are designed to cover potential risks that may not have been identified and operate under an agreed general liability framework, it is common to include certain specific limitations:<\/p>\n<ul>\n<li data-start=\"4290\" data-end=\"4638\">\n<p data-start=\"4292\" data-end=\"4638\"><strong data-start=\"4292\" data-end=\"4308\">Time limits:<\/strong> A defined time period is typically agreed, as the seller cannot be liable indefinitely. A maximum liability period is commonly set between <strong data-start=\"4448\" data-end=\"4468\">12 and 36 months<\/strong> from closing. However, employment, tax and administrative liabilities are typically carved out, and aligned instead with their applicable statutory limitation periods.<\/p>\n<\/li>\n<li data-start=\"4640\" data-end=\"5768\">\n<p data-start=\"4642\" data-end=\"4735\"><strong data-start=\"4642\" data-end=\"4663\">Financial limits:<\/strong> Several financial limitations may be agreed, including the following:<\/p>\n<ul>\n<li data-start=\"4740\" data-end=\"5016\"><strong data-start=\"4740\" data-end=\"4749\">Caps:<\/strong> A maximum limit on the seller\u2019s liability for breaches of warranties. This sets the maximum amount the buyer can claim, providing economic certainty and predictability. Fundamental warranties often have their own cap or, in some cases, sit outside the general cap.<\/li>\n<li data-start=\"5021\" data-end=\"5224\"><strong data-start=\"5021\" data-end=\"5036\">De minimis:<\/strong> A minimum claim threshold designed to prevent claims for insignificant amounts. A claim is only permissible if the loss exceeds that minimum, focusing resources on truly material risks.<\/li>\n<li data-start=\"5229\" data-end=\"5564\"><strong data-start=\"5229\" data-end=\"5240\">Basket:<\/strong> An aggregate threshold of losses that must be reached before the buyer can claim. It can be a <strong data-start=\"5335\" data-end=\"5353\">tipping basket<\/strong> (once reached, all losses are claimable) or a <strong data-start=\"5400\" data-end=\"5421\">deductible basket<\/strong> (only losses above the threshold are claimable). Its purpose is to professionalise the claims process and avoid disputes over minor amounts.<\/li>\n<li data-start=\"5569\" data-end=\"5768\"><strong data-start=\"5569\" data-end=\"5582\">Survival:<\/strong> Defines the period during which warranties remain in effect and the buyer can bring claims. It ensures the seller is exposed only for a reasonable time, avoiding indefinite liability.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p data-start=\"5770\" data-end=\"6253\">These mechanisms are essential to balance buyer protection and seller exposure, and they form a central part of the contractual architecture of any M&amp;A transaction. In addition, under these clauses, the buyer\u2019s limitation period to bring claims arising from breach of R&amp;W is <strong data-start=\"6045\" data-end=\"6059\">five years<\/strong> under <strong data-start=\"6066\" data-end=\"6108\">Article 1964 of the Spanish Civil Code<\/strong>, which is significantly longer than the six-month period provided by Article 1490 of the same legislation.<\/p>\n<h2 data-start=\"6255\" data-end=\"6313\">Indemnities: what they are and how they differ from R&amp;W<\/h2>\n<p data-start=\"6315\" data-end=\"6678\">Indemnities (or <em data-start=\"6331\" data-end=\"6350\">indemnity clauses<\/em>) are another type of contractual provision governing the consequences of a risk that is already known to the buyer, because it has been identified during due diligence. They are typically structured as specific coverages (tax indemnity, litigation indemnity, environmental indemnity, etc.) with bespoke amounts and time limits.<\/p>\n<p data-start=\"6680\" data-end=\"6894\">The difference between R&amp;W and indemnities is therefore clear: while the former protect the buyer against potential risks that were not identified, the latter protect the buyer against risks that are already known.<\/p>\n<p data-start=\"6896\" data-end=\"7070\">In any event, both types of clauses are fundamental where the parties aim to complete a business transaction with full legal safeguards.<\/p>\n<h2 data-start=\"7072\" data-end=\"7085\">Conclusion<\/h2>\n<p data-start=\"7087\" data-end=\"7419\">As set out throughout this article, the purpose of R&amp;W\u2014and indemnities\u2014is to establish and allocate the risks inherent in the transaction.
